The legal ramifications depend on the copyright of the video. If you repackage something that the creator says you can modify and repackage it as you wish, then go right ahead.
But most, if not all, podcasts have some sort of copyright on them. Most podcasts are under a licence that says "You can share it, but you can't change it, and you have to give the creator credit". And some are more restrictive.
Just imagine if I took the latest James Bond flick, put some ads in it (with the ad money going to me), and started distributing it, for free, online. That's theft. Same thing with any podcast where the owner does not give you specific permission to do it.
